Terms and Conditions

These Terms and Conditions (the Terms) apply when you access or use https://omada004.com or purchase products from OMADA through our online store (collectively, the Services).
Please read these Terms carefully before placing an order. By using the Services or submitting an order, you agree to these Terms. Nothing in these Terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded, restricted or modified.

We may contact you by email, telephone or post using the details you provide when placing your order or contacting us.
2. Eligibility and acceptable use
You must provide current, complete and accurate information when using the Services. You must not use the Services:

for any unlawful or fraudulent purpose;

to infringe another person's rights;

to introduce malicious code or interfere with the security or operation of the Services;

to scrape, copy or access the Services using bots, scripts, macros or other automated methods without our written permission; or
-
to purchase products for unauthorised commercial resale.
We may restrict or cancel access to the Services where we reasonably believe these Terms have been breached or fraudulent, abusive or unlawful activity has occurred.
3. Orders and contract formation
3.1 Placing an order
By placing an order, you make an offer to purchase the selected products at the price and on the terms displayed at checkout. You must check your order and delivery details before submitting it.
3.2 Accepting an order
An order confirmation acknowledges that we received your order; it does not necessarily mean we have accepted it. A contract is formed when we confirm acceptance or dispatch the order, whichever occurs first.
3.3 When we may reject or cancel an order
We may reject or cancel an order before dispatch where reasonably necessary, including if:

an item is unavailable or oversold;

there is an obvious pricing, product-description or technical error;
-
payment is declined or cannot be verified;
-
we reasonably suspect fraud, unauthorised resale or the use of bots or automated purchasing methods;

your delivery information is incomplete or invalid; or
-
we cannot lawfully supply or deliver the product.
If we cancel an order after payment has been taken, we will refund the affected amount to the original payment method. We will notify you using the contact details provided with the order.
3.4 Order numbers
We will assign an order number to your purchase. Please include it whenever you contact us about your order.
3.5 Changes and cancellations requested by you
Contact us as soon as possible if you need to change or cancel an order. We cannot guarantee that a change or cancellation will be possible after an order has been submitted, particularly once processing or dispatch has begun. Your rights under the Australian Consumer Law are unaffected.
4. Products and availability
4.1 Limited releases
OMADA products may be made in limited quantities and released through high-demand product drops. Adding an item to your cart does not reserve it. We cannot guarantee that the website will remain continuously available during a drop or that an item will remain available until checkout is completed.
4.2 Product descriptions and images
We take reasonable care to present our products accurately. However, colours and appearance may vary depending on your screen, device settings and lighting. Measurements are approximate, and handmade, washed, dyed, distressed or naturally finished products may have minor variations. These reasonable variations are not necessarily faults.
Nothing in this clause limits your rights where a product is materially different from its description or otherwise fails to meet a consumer guarantee.
4.3 Purchase limits
We may impose reasonable limits on the number of products purchased per customer, household, payment method or address, particularly for limited releases. If a limit applies, it will be displayed on the website or communicated to you.
5. Prices and payment
5.1 Prices
Prices are displayed in the currency shown on the website or at checkout. For Australian orders, prices are in Australian dollars and include GST where applicable, unless stated otherwise. Delivery charges and any other applicable fees will be displayed before you complete checkout.
5.2 Payment
Available payment methods are displayed at checkout. You authorise us and our payment providers to charge the total shown when you submit your order. You must be authorised to use the selected payment method.
5.3 Pricing errors
If a price is obviously incorrect, we may contact you before dispatch and give you the choice to proceed at the correct price or cancel the affected item. If the correct price is lower than the amount paid, we will refund the difference. If we cancel because of a pricing error, we will refund the amount paid for the affected item.
6. Delivery
6.1 Delivery locations
Available destinations will be shown on our website or at checkout. We may change the destinations we service from time to time.
6.2 Delivery estimates
Processing and delivery timeframes are estimates unless we expressly agree to a guaranteed timeframe. We will send dispatch or tracking information where available. Delivery may be affected by carrier delays, customs processing, severe weather and other events outside our reasonable control.
If a delay becomes substantial, contact us at omada004studios@gmail.com. We will provide any remedy required by the Australian Consumer Law.
6.3 Delivery details and failed delivery
You are responsible for providing a complete and accurate delivery address. If delivery fails because no one is available or the address is incorrect or incomplete, you may need to arrange redelivery or collection and may be responsible for reasonable additional charges, except where the failure was caused by us or our delivery provider.
6.4 Risk and ownership
Ownership passes to you once we receive full payment. Responsibility for loss or damage passes to you when the order is delivered to the address or authorised recipient you nominated, subject to any rights that cannot be excluded by law.
6.5 International orders, duties and taxes
International orders may be subject to import duties, taxes, customs charges or handling fees imposed by the destination country. Unless checkout expressly states that these amounts are included, you are responsible for them. You are also responsible for complying with applicable import requirements.
We do not control these charges and recommend checking with the relevant customs authority before ordering. If an order is returned because you did not pay a required charge or comply with an import requirement, we may deduct from any refund our reasonable, unrecoverable shipping, return and handling costs, to the extent permitted by law. Your rights in relation to faulty, unsafe or misdescribed goods are unaffected.
7. Returns, exchanges and refunds
7.1 Change-of-mind returns
In addition to your rights under the Australian Consumer Law, OMADA offers change-of-mind returns if:

you contact us or lodge the return within 14 days after delivery;
-
the item is unworn, unused, unwashed and in its original saleable condition;
-
all original packaging and tags remain attached; and
-
you provide proof of purchase.
Unless the item is faulty, damaged, incorrectly supplied or otherwise covered by a legal guarantee, you are responsible for change-of-mind return shipping costs and the risk of the item until it reaches us. We recommend using a tracked service.
Approved change-of-mind refunds will be made to the original payment method. Original delivery fees are not refundable for change-of-mind returns, except where required by law.

Do not send a return until you have received return instructions from us.
7.2 Hygiene-restricted items
For hygiene reasons, we do not accept change-of-mind returns for underwear, swimwear, earrings or other products identified as hygiene-sensitive, where the hygiene seal has been removed or the product has been worn or tried on, unless the item is faulty or the law otherwise requires a remedy.
7.3 Exchanges
Because our products may be released in limited quantities, we cannot guarantee replacement sizes or hold stock for exchanges. Where an exchange is unavailable, you may return an eligible item under clause 7.1 and place a new order. This does not limit any right to a repair, replacement or refund under the Australian Consumer Law.
7.4 Faulty, damaged, unsafe or incorrectly supplied products
Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You may be entitled to a repair, replacement or refund if a product fails to meet a consumer guarantee. For a major failure, you may reject the product and choose a refund or replacement, and you may be entitled to compensation for other reasonably foreseeable loss or damage. For a non-major failure, we may choose to repair or replace the product within a reasonable time; if we do not, you may be entitled to a refund or other remedy.
Contact omada004studios@gmail.com with your order number, a description of the issue and, where reasonably possible, photographs showing the issue. We may ask you to return the product so it can be assessed. Where the product is confirmed to be faulty, damaged, incorrectly supplied or otherwise fails to meet a consumer guarantee, we will cover reasonable return costs and provide the remedy required by law.
7.5 Refund timing
Once a refund is approved, we will process it to the original payment method within a reasonable period. Your bank or payment provider may take additional time to make the funds available.
8. Intellectual property
All content made available through the Services—including the OMADA name, logos, product designs, graphics, photographs, videos, text, artwork, layout and software—is owned by or licensed to OMADA and is protected by intellectual-property laws.
You may access the Services for personal, non-commercial shopping purposes. You must not reproduce, modify, distribute, sell, license, publicly display, commercially exploit or create derivative works from our content without our prior written permission, except as permitted by law.
9. Reviews, submissions and user content
If you send us a review, photograph, comment, idea or other content, you confirm that you have the right to provide it and that it is not unlawful, misleading, defamatory, offensive or infringing.
Where you submit content for publication or promotional use, you grant OMADA a non-exclusive, worldwide, royalty-free licence to use, reproduce, edit, publish and display that content for the purpose for which it was submitted, subject to our Privacy Policy and applicable law. You retain ownership of your content.
10. Third-party services and links
The Services may use or link to third-party platforms, including Shopify, payment providers, social networks and delivery services. Third parties may have their own terms and privacy policies. We are not responsible for third-party websites or services that we do not control, except to the extent required by law.
11. Website availability and security
We try to keep the Services available and accurate, but we do not guarantee uninterrupted or error-free access. We may suspend or change all or part of the Services for maintenance, security, legal, operational or business reasons.
You must not attempt to bypass security measures, gain unauthorised access, overload the website, interfere with other users or introduce malware. We may take reasonable steps to protect the Services, customers and OMADA from suspected threats or misuse.
12. Liability
12.1 Rights that cannot be excluded
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right, remedy or liability that cannot lawfully be excluded, restricted or modified, including under the Australian Consumer Law.
12.2 Foreseeable loss
Subject to clause 12.1 and to the maximum extent permitted by law, neither party is responsible for loss that was not reasonably foreseeable when the relevant contract was formed.
12.3 Personal use
Our products are supplied primarily for personal and domestic use. Subject to clause 12.1 and to the maximum extent permitted by law, we are not liable for business losses such as loss of profit, revenue, opportunity, goodwill or business interruption arising from commercial use or unauthorised resale of our products.
13. Privacy
Our collection, handling, use and disclosure of personal information are described in our Privacy Policy, available on our website.
14. Ending or suspending an order
We may cancel an order or suspend its fulfilment if you do not make payment when due, provide information reasonably required to fulfil the order, allow delivery within a reasonable time, or materially breach these Terms.
If we cancel for your material breach, we will refund amounts paid for products not supplied, but may deduct reasonable costs directly caused by the breach to the extent permitted by law. We will not make a deduction that would unlawfully limit your consumer rights.
15. Complaints
If you have a question or complaint about an order, product or the Services, contact omada004studios@gmail.com and include your order number and relevant details. We will review the issue and respond within a reasonable period.
16. Changes to these Terms
We may update these Terms from time to time. The Terms published when you place an order will apply to that order unless a change is required by law or you agree to the change. The latest version will appear on this page with its effective date.
17. General terms
17.1 Assignment
We may transfer our rights and obligations under these Terms as part of a genuine sale, transfer or restructure of our business, provided this does not reduce your rights. You may transfer your rights where the law permits or with our written agreement.
17.2 Severability
If any part of these Terms is found to be unlawful or unenforceable, that part will be read down or removed to the minimum extent necessary, and the remaining Terms will continue to apply.
17.3 No waiver
If we delay or fail to enforce a right, that does not waive the right. A waiver is effective only if given in writing.
17.4 Entire agreement
These Terms, together with the policies referred to in them and the information displayed at checkout, form the agreement between you and OMADA in relation to an order. This clause does not exclude liability for misleading or fraudulent conduct.
17.5 Governing law
These Terms are governed by the laws of Victoria, Australia. You and OMADA submit to the non-exclusive jurisdiction of the courts of Victoria and courts entitled to hear appeals from them. Nothing in this clause prevents you from exercising a right available under applicable consumer law in another Australian state, territory or jurisdiction.
